Agreement of Sale and Purchase

This agreement of sale and purchase (hereinafter – the Rules) determine the mutual rights, duties and responsibilities of the person who purchases products in the online store goodhands.lt (hereinafter – the Buyer) and MB Geras rankos (hereinafter – the Seller), when the Buyer purchases products in the online store. These Online Trading Rules (hereinafter – the Rules) are a mandatory and integral part of the purchase and sale agreement. By purchasing products in the online store, the Buyer agrees to the application of these Rules.

I. GENERAL PROVISIONS

1. The services of the online store are provided to the following:
1.1. persons of at least 18 years of age;
1.2. minors between the ages of fifteen and eighteen only with consent of their parents, adoptive parents or guardians, except for those cases where one’s earnings or scholarship are independently disposed of;
1.3. legal entities;
1.4. authorized representatives of the persons listed above.
2. Personal data provided by the buyer (name, address, phone number, e-mail address) when registering in the online store are stored and processes according to the Law on Legal Protection of Personal Data of the Republic of Lithuania no. IX-1296 and these Rules.
3. The agreement of sale and purchase between the Buyer and the Seller is considered to have been concluded from the moment as the Buyer having generated a shopping cart of products in the online store, specified the delivery address, selected the payment method and familiarized himself with these Rules (after reading, clicks the “I agree with the Rules” button), clicks the “Order” button and makes a payment of the invoice by bank transfer. The agreement is valid until the total fulfillment of the obligations under this agreement. In cases where the Buyer does not agree with all or a certain part of the Rules, he cannot place an order. Each contract concluded between the Buyer and the Seller is stored in the database.

II. THE BUYER'S OBLIGATIONS

4. The Buyer must pay both the price of the products and delivery as well as other fees (if specified when concluding the contract) and accept the ordered products.
5. The Buyer must provide complete and correct information needed to successfully fulfill the order. When the information provided by the Buyer changes, the Buyer must update it immediately.
6. The Buyer, who does not update personal information in time, assumes all the risks arising from this.
7. The buyer must comply with other requirements established in the Rules and legal acts of the Republic of Lithuania.

III. THE SELLER'S RIGHTS

8. If the Buyer tries to harm the work or stable operation of the online store, the Seller may limit, suspend (terminate) his access to the online store without prior warning and is not responsible for any related losses of the Buyer.
9. The Seller has the right to unilaterally change these Rules by publishing them on the website of the online store. Changes take effect from the moment of publication for all transactions concluded after publication.
10. The Seller has other rights specified in the Rules and legal acts of the Republic of Lithuania.

IV. THE SELLER'S OBLIGATIONS

11. The Seller undertakes to create conditions for the Buyer to properly use the services provided by the online store.
12. The seller undertakes to comply with other requirements set forth in these Rules.
13. The seller guarantees the quality of products.

V. PAYMENT TERMS

14. The Buyer can pay for the products only by bank transfer when paying the invoice.

VI. DELIVERY TERMS

15. Products at the expense of the Buyer are delivered by transport companies and courier services.
16. During the delivery of the package, the Buyer or the Buyer’s representative in the presence of the representative of the delivery company must check the condition of the package, the quantity and quality of the products.
17. When a violation of the packaging, quantity or quality of the shipment is detected, the Buyer or the Buyer’s representative may not accept the shipment and must inform the seller immediately.
18. When the delivered products will not be accepted by the Buyer, the Buyer must submit the information of the person who will accept the delivery when filling in the delivery information of the order.

VII. PRODUCT WARRANTIES

All products are subject to the warranty terms established by the manufacturers or the legal acts of the Republic of Lithuania.
20. When buying a product of inadequate quality, the Buyer has the right to demand for:
20.1. a defective item to be replaced with an item of adequate quality;
20.2. the purchasing price of the product to be reduced accordingly;
20.3. the Seller to eliminate defects of the sold item within a reasonable period of time;
20.4. a refund of the amount paid and cancellation the contract.
21. All products are made to order, therefore, they cannot be returned except for the cases where the products are of poor quality.
22. The seller is not responsible when the product’s color, shape or other parameters do not correspond to reality due the customer’s display properties.

VIII. RESPONSIBILITY OF THE PARTIES

23. The buyer is responsible the data provided in the registration form to be correct. The Buyer assumes responsibility for the consequences when the data provided in the registration form is incorrect or inaccurate.
24. The parties shall be liable for the violation of the purchase and sale agreement that was concluded through the online store in accordance with the procedure established by the legal acts of the Republic of Lithuania.

IX. PROCESSING OF PERSONAL DATA

25. By ordering products at the online store, the Buyer confirms that he and/or his representatives agree to provide the Seller with his personal data specified in these Rules and the order form and does not object to personal data provided by the Buyer and/or his representatives being processed by the Seller for the purpose of online marketing.
26. By ordering products at the online store, the Buyer confirms that he and/or his representatives agree that the personal data of the Buyer and/or his representatives provided by the Buyer and/or his representatives would be provided to third parties selected by the Seller, in order to be processed for the purpose of online marketing, as discussed in the paragraph above.
27. By ordering products at the online store, the Buyer confirms that in order to properly identify the Buyer and/or his representatives for the purpose of online marketing, he and/or his representatives agree to submit personal identification documents (passport, identity card, new driver’s license) to the delivery person at the place of pick-up when picking up the products.
28. By ordering products at the online store, the Buyer confirms that he and/or his representatives agree that personal data of the Buyer and/or his representatives provided to the Seller is processed for the purpose of direct marketing. The Seller indicates that the personal number of the Buyer (individual) and his representatives will not be processed for the purpose of direct marketing.

X. FINAL PROVISIONS

29. The seller reserves the right at its own discretion to suspend, fill in, change these Rules and other documents related to the Rules by informing the Buyer in the online store.
30. When the Buyer does not agrees with the new version of the Rules, partial additions, changes, he loses the right to use the services of the online store.
31. When the Buyer continues to use the services provided by the online store after the amendment of the Rules, it is considered that the Buyer agrees to the new edition of the Rules, partial changes or additions.
32. These Rules do not limit the Buyer’s (consumer’s) rights established by the legal acts of the Republic of Lithuania, including the rights following the purchase of a product or service of inappropriate quality.
33. All disagreements regarding the implementation of these Rules shall be resolved through negotiations. When it is not possible to reach an agreement within 30 (thirty) days, disagreements are resolved according to the procedure established by the Republic of Lithuania.
34. Note: In all cases, customers are requested to contact the seller first.
35. The law of the Republic of Lithuania applies to these rules.
